Partner Terms & Conditions
General Terms and Conditions for Education Partners on the Gradia Platform.

Beta Phase Participation
Gradia is currently in a Free Public Beta. During this phase, all listing and lead generation features are provided free of charge. By participating, you agree to these terms regarding data handling and content accuracy.
1. Scope of Services
- Platform Listing: Gradia provides the Partner with a dedicated profile page and listing slots for their executive education courses.
- Lead Generation: Gradia collects potential student inquiries ("Leads") and transmits them to the Partner via the agreed channels (Email or API).
- No Guarantee: Gradia acts as an intermediary and does not guarantee a minimum number of Leads or successful enrollments.
2. Partner Obligations
- Information Accuracy: The Partner warrants that all provided content (Tuition, API data, Dates, Curriculum) is accurate, current, and not misleading.
- Rights to Content: The Partner guarantees they hold all necessary intellectual property rights to the logos, images, and texts provided for the Listing.
- Lead Response: The Partner agrees to process incoming Leads professionally and within a reasonable timeframe (typically 48 business hours).
3. Data Protection (GDPR)
- Independent Controller: Upon successful transmission of Lead data to the Partner, the Partner becomes a separate Data Controller under GDPR.
- Purpose Limitation: The Partner agrees to use the Lead data exclusively for the purpose of answering the specific inquiry and related follow-up.
- Prohibition of Spam: The Partner shall NOT add the Lead's contact details to general marketing newsletters or sell the data to third parties without obtaining separate, explicit consent from the Lead.
4. Fees & Payment
Beta Phase: Services are currently free of charge.
Future Fees: Gradia reserves the right to introduce service fees (e.g., commission or listing fees) in the future. Any fee introduction will be communicated with at least 4 weeks' notice and requires a new agreement or amendment. The Partner may terminate the partnership immediately if they do not agree to the new fees.
5. Liability
Gradia is liable only for intent and gross negligence. Liability for slight negligence is excluded, except for breaches of essential contractual obligations. Gradia assumes no liability for the correctness of user-generated data in Leads or for temporary technical unavailability of the Platform.
6. Termination
This agreement runs for an indefinite period. Both parties may terminate the cooperation at any time with 14 days' notice to the end of the month. The right to immediate termination for cause (e.g., misuse of data, fraud) remains unaffected.
7. Final Provisions
This agreement is governed by the laws of the Federal Republic of Germany. If any provision of these terms is found to be invalid, the remaining provisions shall remain in full force and effect.
